تعليق على تعميم هيئة السوق المالية بشأن مكافآت أعضاء مجالس الإدارات واللجان التابعة. 🟦 1 التعميم يتعلق بأمر جوهري وهو مكافآت أعضاء المجالس ولجانه، وهذا ما يغيض بعض المساهمين.. كيف ياخذون مكافات والشركة خسرانة ونحو هذا. - سياسة المكافآت يجب أن تتضمن معايير واضحة مرتبطة بأداء العضو وأداء الشركة، مع الإفصاح عنها والتحقق من تنفيذها. 🟦 2 تعميم الهيئة 2026 - المرفق اسفل - لا يعني التزام جديد الآن على الشركات، إنما هو تأكيد وتذكير رقابي بالتزامات .. مادة 58 من لائحة حوكمة الشركات التي تنص على إعداد سياسة واضحة للمكافآت واتباع معايير ترتبط بالأداء. 🟦 3 هذا لا يعني أن أي سياسة مكافات لشركة صدرت قبل التعميم هذا .. هي صحيحة .. لأن تعميم الهيئة صدر في 2026. التعيميم يَفترض أو يقول كان يجب على سياسة الشركة ان تتضمن معايير قابلة للتطبيق والقياس. 🟦 4 بعض سياسات المكافآت لدى شركات مدرجة: فيها عبارات مثل: يصرف للعضو مكافأة مع مراعاة أداء الشركة، وتحفيز العضو ، ومراعاة الخبرة والاختصاص، وتحقيق أهداف الشركة. ما رايكم بهذه العبارة؟ هل هذا يعني ان السياسة تتضمن معايير واضحة؟ أين المعيار القابل للقياس؟ ما المؤشر الذي إذا تحقق زادت المكافأة؟ وما الذي يؤدي إلى خفضها؟ .. الخ 🟦 5 هناك فرق أن تقول السياسة: تُراعى نتائج الشركة وأداء العضو وخبرته عند تحديد مكافأته. وبين أن تضع منهجية واضحة مثل: زيادة الايرادات.. أو أداء واجباته في كذا وكذا .. أو رفع تقارير عن .. إلى غير ذلك . 🟦 6 بعض سياسات المكافات تجعل للجنة المكافآت إصدار توصية سنوية بمقدار المكافأة، دون أن يظهر في السياسة معيار كمي أو منهجية واضحة تبين كيفية قياس أداء العضو أو ا الموجب الذي حدد مقدار المكافأة. 🟦 7 ليس المقصود تحديد مبلغ محدد مثل للرئيس 100 الف وللعضو 200 .. لا . تحديد مقدار المكافآت بتوصية من لجنة المكافات ثم تعرض على المجلس ثم توافق عليه الجمعية. 🟦 8 اعتماد الجمعية العامة لسياسة المكافآت لا يعني أن مضمونها محصن من الطعن. إذا كانت اللائحة تلزم لجنة المكافآت بإعداد سياسة واضحة، ومعايير مرتبطة بالأداء، فإن مدى استيفاء السياسة.. هو محل السؤال والبحث ولو اعتمدت من الجمعية. 🟦 9 المادة 58 تربط عمل لجنة المكافآت بالآتي: - توضيح العلاقة بين المكافآت والسياسة - بيان أي انحراف - مراجعة السياسة دورياً - التوصية بالمكافآت وفق السياسة المعتمدة. 🟦 10 إذا كان أداء الشركة ضعيف ثم تستمر مكافآت المجلس استقرارا او ارتفاعا دون تبرير واضح .. فهو موضع تساؤل .. ليس عن مبلغها فقط بل ما الأساس الذي بُني عليه. 🟦 11 انخفاض أرباح الشركة لا يعني عدم استحقاق مكافات .. قد تكون هناك أسباب اخرى وربما أداء المجلس جيد مع ضعف الربح. لهذا تحديد المكافات بمعايير واضحة مهم حتى لا يكون الامر جزافا او مجرد انطباع بعد نتائج الشركة. 🟦 12 التعميم ينبه إلى أهمية مراجعة سياسات المكافآت في الشركات المدرجة. ومساءلة مجالس الإدارات عن سنوات سابقة يستند على اللائحة والسياسة المعتمدة وليس على التعميم.
